Welcome to Joiin Ltd ("Joiin," "we," "us," or "our"). By accessing or using our financial consolidation and reporting software at app.joiin.co (the "Software") and visiting our website at www.joiin.co (the "Website"), you agree to comply with these Terms and Conditions ("Terms"). If you do not agree with these Terms, please refrain from using the Software and Website.


2. Data Protection and Privacy


2.1 Joiin is committed to protecting your privacy and complies with applicable data protection laws, including:

The UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

The European Union General Data Protection Regulation (GDPR).

The California Consumer Privacy Act (CCPA), where applicable.


2.2 For details on how we collect, use, and protect your personal data, please refer to our Privacy Policy.


3. Registration and Account Security


3.1 To use the Software, you must create an account with accurate and truthful information. You must not impersonate others, use offensive usernames, or violate intellectual property rights when creating your account.


3.2 Accounts and user licences provided to organisations are non-transferable and must only be used by the assigned individual. Sharing user credentials or breaching licence terms may result in account suspension or termination.


3.3 You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately if you suspect unauthorised access. We are not liable for any loss or damage arising from your failure to secure your account.


4. Plans, Pricing, and Payments


4.1 Current pricing, plans, and features are available on our website at www.joiin.co.


4.2 Prices and features may change. We will provide advance notice of pricing changes in your next billing cycle, whether monthly or annual.


4.3 Payments for the Software are billed in advance based on your selected monthly or annual plan. We accept valid credit or debit cards as payment methods.


4.4 If your payment method fails, your access may be suspended until valid payment is processed.


5. Trial and Offer Periods


5.1 Joiin may offer trial or promotional periods at its sole discretion. Terms of such offers will be communicated separately.


5.2 Trial or promotional accounts are intended for single-user access and cannot be shared among multiple individuals.


5.3 Trial and promotional periods are governed by these Terms and may be modified or withdrawn without prior notice.


6. Use of Software


6.1 You agree not to use the Software:


(a) in violation of any applicable law or regulation;

(b) to upload, process, or share data for which you do not have the necessary rights, permissions, or authority;

(c) to interfere with, disrupt, or attempt to gain unauthorised access to the Software, systems, or networks;

(d) to misuse or attempt to circumvent usage limits, security controls, licence restrictions, or access restrictions;

(e) to misuse AI-powered functionality, including attempting to bypass safeguards or use AI features in a manner that is unlawful, misleading, or intended to cause harm.


6.2 Joiin reserves the right to suspend or terminate access to the Software for violations of this section.


7. Use of Joiin Connect


7.1 Joiin Connect is Joiin’s API, which enables you to connect third-party systems and integrate financial and operational data across platforms (for example, Power BI) to support data aggregation, reporting, and analysis.


7.2 By using the Joiin Platform, you acknowledge and agree that:


(a) Joiin Connect capabilities are available within your workspace.

(b) When you choose to connect third-party systems or exchange data through the Software, Joiin Connect may be enabled and invoked.

(c) Your use of Joiin Connect constitutes your agreement to the transmission and processing of data through Joiin Connect for integration and reporting purposes, in accordance with these Terms.

(d) You are responsible for configuring, enabling, and managing all integrations and API connections, including determining which data is shared, transferred, or processed.

(e) You are responsible for ensuring that you hold all required licences, permissions, and access rights for any third-party platforms, applications, or services connected to Joiin via Joiin Connect.


7.3 Joiin does not provide, manage, or validate third-party licences and is not responsible for any issues arising from insufficient, expired, or non-compliant licences or access rights. Joiin does not control and is not responsible for the operation, availability, security, or data handling practices of any third-party platforms integrated via Joiin Connect. You are responsible for ensuring compliance with all applicable third-party terms and privacy policies.


7.4 Joiin Connect is provided “as is,” and Joiin makes no guarantees regarding the performance, availability, or continued compatibility of external integrations facilitated through the API.


8. Use of Joiin Intelligence


8.1 Joiin Intelligence is the AI layer built into Joiin, providing AI-powered functionality, including predictive insights, enhanced reporting, and the use of agentic AI to assist with finance-related processes and user-authorised actions within the Software, operating in accordance with user-defined inputs, permissions, and workflows.


8.2 You can interact with Joiin Intelligence in two ways:


(a) Joiin AI – a chat interface that enables teams to explore data, understand reports, identify anomalies, and uncover insights.

(b) AI Agents – work in the background to automate reporting, monitor performance, surface insights over time, and assist with user-initiated, user-approved tasks and actions.


Joiin Intelligence (Joiin AI, and AI Agents) are optional and are only activated when users choose to use AI-assisted functionality within the Software.


8.3 By using the Joiin Platform, you acknowledge and agree that:


(a) Joiin Intelligence is available within your workspace.

(b) When you choose to use any AI-powered functionality, Joiin Intelligence is enabled and invoked.

(c) Your use of AI-assisted features constitutes your agreement to Joiin’s AI-related terms and policies, including the processing and transmission of data to Joiin’s third-party AI service providers for the purpose of generating AI-powered insights and supporting AI-assisted functionality within the Software.

(d) You are responsible for deciding when AI-powered functionality is used and for reviewing any AI-generated outputs before relying on them.

(e) When Joiin Intelligence invokes third-party AI services, data is transmitted only as part of a secure, on-demand query for the purpose of generating AI-powered insights and supporting user-authorised actions within the Software.

(f) Customer data is not retained, reused, or used to train third-party AI models and is not shared for any other purpose.

(g) Joiin Intelligence processes data in compliance with applicable data protection laws, leveraging Amazon Web Services (AWS) Bedrock for enterprise-grade security and compliant AI services.

(h) You are responsible for ensuring that any data you provide for AI-powered functionality complies with applicable data protection regulations.


8.4 Joiin Intelligence is provided “as is,” and Joiin makes no guarantees regarding the performance, accuracy, or outcomes of AI-powered functionality.


8.5 AI-generated outputs are provided for informational purposes only and should not be relied upon as professional, financial, tax, or legal advice.


8.6 Use of Joiin Intelligence is subject to this Agreement and Joiin’s AI Policy, which forms part of these Terms.


9. Cancellation and Termination


9.1 You may cancel your account at any time through the settings provided in the Software.


9.2 Upon cancellation:

Trial Accounts: Data is retained for up to 12 months after inactivity.

Paid Accounts: Data is retained for up to 12 months after cancellation.


9.3 After the 12-month retention period, all data associated with your account will be permanently deleted and cannot be recovered.


9.4 You may request early deletion of their data by contacting support@joiin.co. Joiin will process such requests in accordance with applicable laws and regulations.


9.5 You are responsible for exporting any required data during the 12-month retention period. The Software enables you to export data to Excel and PDF.


9.6 Joiin consolidates data provided by the customer through third-party platforms (e.g., Xero, Sage, QuickBooks) or spreadsheets for reporting purposes. You remain responsible for retaining financial records in accordance with your own legal and regulatory obligations.


9.7 Joiin may retain minimal payment records (e.g. subscription amounts and receipts) for up to 7 years to comply with legal and tax obligations.


9.8 Joiin reserves the right to suspend or terminate your account for breach of these Terms.


10. Data Retention and Deletion


10.1 Joiin’s data retention policy aligns with applicable data protection laws.


10.2 We retain personal data only for as long as necessary to provide services or comply with legal obligations. After the specified retention period, data is permanently deleted or anonymised.


10.3 Specific retention periods are outlined in our Privacy Policy.


11. Intellectual Property


11.1 Ownership: All intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, patents, and any other proprietary rights, in and to the Software, Website, and related materials, are and shall remain the exclusive property of Joiin and/or its licensors.


11.2 License to Use: Subject to your compliance with these Terms, Joiin grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business purposes. This license does not convey any rights of ownership in the Software or related intellectual property.


11.3 Restrictions: You agree not to:

(a) Copy, reproduce, modify, adapt, or create derivative works based on the Software or any part thereof.

(b) Reverse-engineer, decompile, or disassemble the Software, except as permitted by applicable law.

(c) Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or on the Software or Website.

(d) Use the Software for any unauthorised or illegal purposes, including activities that infringe on the intellectual property rights of Joiin or third parties.


11.4 Feedback and Suggestions: If you provide feedback, suggestions, or other input related to the Software or its functionality, you grant Joiin a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate your feedback into the Software or related products without further obligation to you. All intellectual property rights in the Software, including any improvements, enhancements, or developments resulting from such feedback, shall remain the sole and exclusive property of Joiin.


11.5 Third-Party Components: The Software may include third-party software or open-source components. Use of these components may be subject to additional terms and conditions, which Joiin will provide upon request or make available within the Software.


11.6 Protection and Enforcement:

Joiin reserves the right to take legal action to protect its intellectual property rights and prevent unauthorised use of the Software or Website.


12. Email Communications

12.1 By signing up for a Joiin subscription or trial, you agree to receive email communications from us. These include service, product and marketing communications, and product notifications via Beamer. You may opt out of product and marketing communications at any time by following the unsubscribe link or by contacting us at support@joiin.co. In app (Beamer) email notifications are optional and can be managed as described in our Privacy policy.


13. Service Availability and Support

13.1 We aim to provide continuous access to the Software but do not guarantee uninterrupted availability.

13.2 Technical support is available via in-app chat, email, or helpdesk portal. Support availability may vary based on your subscription plan.


14. Access and Backups


14.1 Service Availability

We take reasonable steps to ensure the Software and Website are available and functioning as expected. If the service becomes unavailable or malfunctions, we will work to resolve the issue and, where possible, provide repeat performance of the affected service.


14.2 Third-Party Responsibility

We are not responsible for issues caused by third-party providers or systems beyond our control, and refunds will not be provided in such cases.


14.3 Customer Backup Responsibility

You are responsible for regularly backing up any data you upload to the Software. While we follow industry best practices to reduce the risk of data loss, we cannot guarantee against all potential data loss. Joiin is not liable for any loss of data, regardless of the cause.


15. Disclaimer of Warranties


15.1 The Software, Joiin Connect, and Joiin Intelligence are provided on an “as is” and “as available” basis.


15.2 To the maximum extent permitted by law, Joiin disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.


15.3 Joiin does not warrant that the Software will be uninterrupted, error-free, secure, or produce specific results.


16. Limitation of Liability


16.1 To the extent permitted by law, Joiin is not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from your use of the Software.


16.2 Our total liability for any claim related to the Software will not exceed the amount you paid in the preceding 12 months.


17. Indemnification


17.1 You agree to indemnify and hold Joiin, its affiliates, employees, and partners harmless from any claims, liabilities, or damages arising from your breach of these Terms or misuse of the Software.


18. Force Majeure


18.1 Joiin shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including natural disasters, power failures, internet or cloud service outages, governmental actions, changes in law or regulation, or failures of third-party service providers.


19. Updates to the Terms

19.1 We may update these Terms from time to time. Significant changes will be communicated to you. Continued use of the Software after changes are made constitutes your acceptance of the updated Terms.


20. Assignment

20.1 You may not assign or transfer these Terms, in whole or in part, without Joiin’s prior written consent.


20.2 Joiin may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets.


21. Jurisdiction and Governing Law

21.1 These Terms are governed by and construed in accordance with English law. Any disputes shall be subject to the exclusive jurisdiction of the English courts.


22. Data Processing Addendum


22.1 Joiin operates as a data processor, not a data controller, for customer data. All data processing activities are governed by our Data Processing Addendum (DPA), which outlines our responsibilities and compliance with applicable data protection laws. The DPA applies to all Joiin customers.


23. Order of Precedence


23.1 In the event of a conflict between these Terms and any referenced policy or addendum (including the Privacy Policy, AI Policy, or Data Processing Addendum), these Terms shall prevail unless expressly stated otherwise.
